i-thriv: Wellness, Anywhere – Independent Contractor Agreement & Provider Terms

Effective Date: July 17, 2025

1. Overview & Agreement to Terms

By joining the i-thriv Wellness, Anywhere platform (“i-thriv,” “we,” “us,” or “our”) and accepting bookings, you agree to comply with all standards, policies, and protocols outlined herein. You acknowledge that you are operating as an Independent Contractor (1099 status) and not an employee of i-thriv.

As an independent provider, you are fully responsible for your own business conduct, tax obligations, insurance coverage, and service quality.

Please note: i-thriv reserves the right to update, modify, or remove any part of these terms and policies at any time. It is your responsibility to review the most current version periodically to stay informed.

2. Licensing, Insurance & Legal Requirements

You must:

  • Maintain a valid professional license or certification for all services provided

  • Carry active liability insurance appropriate to your profession

  • Update i-thriv immediately if your bank account, license, or insurance information changes

  • Failure to meet these requirements may result in immediate deactivation from the platform

3. Independent Contractor Responsibilities

  • As an i-thriv provider, you are responsible for:

  • Paying your own taxes (1099-NEC issued for $600+ annually)

  • Providing your own tools, supplies, and transportation

  • Maintaining your own schedule, availability, and service preferences

  • Honoring all accepted bookings

  • Ensuring a professional, respectful client experience

  • Responding to i-thriv communications within 24 hours

  • Not entitled to employee benefits such as PTO, unemployment, or insurance

4. No Client Poaching Policy

  • Do not promote personal services during i-thriv sessions

  • Do not share personal business cards or contact details

  • All future bookings with i-thriv clients must be done through the i-thriv platform

    Any attempt to poach clients will result in immediate account deactivation

5. Booking & Payment Policies

  • All sessions must be booked and confirmed through the i-thriv platform

  • No off-platform payments or contact info exchanges are allowed

  • Payouts are processed within 1–3 business days post-session

  • Gratuities may be received in cash or through the platform, where applicable

6. Inactivity & Cancellations

  • Inactivity for 90+ days may result in profile archiving or re-verification

  • Providers must give at least 24 hours' notice for cancellations whenever possible

  • Repeated late cancellations or no-shows may lead to suspension or removal

7. Dress Code & Appearance

  • Wear all-black professional attire (no shorts, crop tops, or sheer clothing)

  • No visible logos except for i-thriv-branded gear

  • Maintain personal grooming and cleanliness standards

8. Equipment & Setup

  • Arrive 10–30 minutes early depending on service

  • Bring all required tools and maintain clean, functional equipment

  • Massage/facial providers: clean table, fresh linens (white, black, green, or blue)

  • Yoga & sound bath: bring your own mats, blocks, and instruments

9. Professional Conduct

  • No use of alcohol or drugs before or during sessions

  • Maintain a quiet, focused, and client-centered presence

  • Respect personal boundaries at all times

  • Any sexual misconduct or inappropriate behavior will result in immediate deactivation

10. HIPAA & Client Confidentiality

  • Providers must maintain confidentiality at all times

  • Any breach of client privacy (including posting without permission) may result in deactivation

11. Social Media & Branding

  • Get client permission before posting any images or content

  • Tag all i-thriv content with #ithrivwellnessanywhere

  • Never post client faces or identifying features without written consent

12. Conflict of Interest

  • You may work with other platforms (e.g., Zeel, Soothe) or your own clients

  • Do not double-book overlapping times across platforms

  • Always honor your first accepted commitment

  • Allow time between clients to avoid lateness or burnout

13. Safety & Emergency Protocols

  • If you feel unsafe, you have the right to leave and notify i-thriv

  • Report any injury, allergic reaction, or emergency incident within 24 hours

14. Session Management

  • Sessions must run the full scheduled time unless client ends early

  • Do not alter services on-site without prior client and i-thriv approval

15. App & Technology Usage

Providers must use the i-thriv mobile app or web platform to:

  • Accept bookings

  • Update availability

  • Communicate with support

  • Track payouts and performance

16. Ratings, Reviews & Quality

Clients may rate sessions through the platform

  • High-rated providers may receive perks or increased visibility

  • Ongoing poor reviews or complaints may result in review or removal

17. Photo, Testimonial & Marketing Consent

  • i-thriv may request permission to use your photo or testimonials for marketing

  • No photos will be used without both provider and client consent

18. Use of Client Information

  • Use client information solely for the scheduled session

  • Do not store, share, or use any client information beyond the scope of the booking

19. Deactivation & Termination

You may be removed from the platform for:

  • Policy violations

  • Unsafe or unprofessional behavior

  • No-shows or repeated lateness

  • Expired credentials

  • Poaching clients or soliciting off-platform services

  • Failing to respond to platform communications within 24 hours
