Independent Contractor Agreement & Provider Terms

1. Overview & Agreement to Terms
By joining the i-thriv: Wellness, Anywhere platform (“i-thriv,” “we,” “us,” or “our”) and accepting bookings, you agree to comply with the standards, policies, and procedures outlined in this Agreement.
You acknowledge that you are operating as an Independent Contractor (1099) and not as an employee of i-thriv.
As an independent provider, you are fully responsible for:
Your own tax obligations
Maintaining proper licensure and insurance
Your professional conduct
The quality of services delivered
i-thriv reserves the right to modify these terms at any time. Providers are responsible for reviewing the most current version.
2. Licensing, Insurance & Legal Requirements
You must:
Maintain a valid professional license or certification for all services provided
Carry active professional liability insurance appropriate to your services
Immediately notify i-thriv of any changes to your license, insurance, or banking information
Failure to maintain required documentation may result in immediate deactivation.
3. Independent Contractor Responsibilities
As an i-thriv provider, you:
Receive a 1099-NEC for earnings of $600+ annually
Are responsible for your own taxes
Provide your own tools, supplies, and transportation
Control your availability and service preferences
Must honor all accepted bookings
Must respond to i-thriv communications within 24 hours
Are not entitled to employee benefits (PTO, insurance, unemployment, etc.)
4. No Client Solicitation Policy
To protect the integrity of the platform:
Do not promote personal services during i-thriv sessions
Do not distribute personal business cards or contact information
All future bookings with i-thriv clients must occur through the platform
Violation of this policy may result in immediate removal.
5. Booking & Payment Policies
All bookings must be confirmed through the i-thriv platform
Off-platform payments are strictly prohibited
Payouts are processed weekly (see Key Information below)
Gratuities may be received in cash or through the platform
Payment is issued for completed, confirmed sessions only
Client disputes may delay payout pending review
6. Inactivity & Cancellations
Inactivity for 90+ days may result in profile archiving
Providers must give at least 24 hours’ notice for cancellations when possible
Repeated late cancellations or no-shows may result in suspension or removal
7. Professional Appearance
Providers must:
Wear professional all-black attire
Avoid visible logos (except approved i-thriv branding)
Maintain professional grooming standards
8. Equipment & Setup Standards
Providers must:
Arrive 10–30 minutes early depending on service
Maintain clean, functional equipment
Provide fresh linens (white, black, green, blue, grey, or cream)
Supply all required tools for services offered
Safely transport equipment
Massage providers must own a massage table and massage chair.
Yoga and sound bath providers must supply their own equipment.
9. Professional Conduct
Providers must:
Maintain respectful boundaries at all times
Avoid alcohol or substance use before or during sessions
Maintain a client-centered, professional presence
Any inappropriate or sexual misconduct results in immediate removal.
10. Client Confidentiality
Providers must maintain client confidentiality at all times.
No posting client images without written consent
No sharing client information outside the session
No use of client data beyond the scope of booking
Violations may result in immediate deactivation.
11. Social Media & Branding
Obtain written permission before posting client content
Do not post identifying features without consent
Tag official i-thriv content appropriately
12. Conflict of Interest
Providers may work with other platforms or private clients.
However:
Do not double-book overlapping times
Always honor your first confirmed commitment
Allow adequate time between sessions
13. Safety & Emergency Protocols
If you feel unsafe, you may leave the session and notify i-thriv immediately.
Any injury, allergic reaction, or emergency incident must be reported within 24 hours.
14. Session Management
Sessions must run the full scheduled duration unless the client ends early
Do not alter services on-site without client and i-thriv approval
15. App & Platform Usage
Providers must use the i-thriv app or web platform to:
Accept bookings
Manage availability
Communicate with support
Track payouts
16. Ratings & Performance
Clients may rate sessions
High-performing providers may receive increased visibility
Ongoing complaints may result in review or removal
17. Termination & Deactivation
i-thriv may deactivate a provider for:
Policy violations
Unsafe or unprofessional conduct
Repeated lateness or no-shows
Expired credentials
Client solicitation
Failure to respond within 24 hours
Key Information
Operating Hours: 8:00 AM – 8:00 PM
Position Type: 1099 Independent Contractor
Payday: Every Wednesday (for sessions completed the prior week)
Payroll Cutoff: Tuesday at 8:00 PM PST
Scheduling: Providers control their availability
Same-Day Bookings: May be available within 4–6 hours
Onboarding & Compliance
Providers must maintain current licensure and insurance while active on the platform.
All documentation must remain valid and up to date.
